This Agreement constitutes a legally binding contract between you (“User”, “You”, or “Your”) and UNOVICOM OÜ (“UNOVICOM OÜ”, “We”, “Us”, “Company”, “WIZE Group™”, “WizeIP™”, or “Our”).

If you are entering into this Agreement on behalf of a business or another legal entity, you confirm that you have the authority to bind that entity to this Agreement, in which case the terms “User”, “You”, “Customer”, or “Client” will apply to that entity. If you do not have such authority, or if you disagree with the terms of this Agreement, you must not accept it and are prohibited from accessing or using the Website and Services.

By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You further recognize that this Agreement is a binding contract between you and UNOVICOM OÜ, even though it is in electronic form and does not require a physical signature, and it governs your use of the Website and Services.

Site Ownership and Acceptance of Terms of Use

These Terms and Conditions of Use (the "Terms of Use") govern your access to and use of WizeIP™ websites located at www.wizeip.com, as well as all associated sites linked to WizeIP™, its subsidiaries, and affiliates worldwide (collectively, the "Site(s)"). The Site is owned and operated by UNOVICOM OÜ ("WizeIP™") or its affiliates. By accessing or using the Site, you agree to be bound by these Terms of Use. If you do not agree, you must not use the Site.

WizeIP™ reserves the right, at its sole discretion, to modify, amend, add, or remove portions of these Terms of Use at any time. It is your responsibility to periodically review these Terms for updates. Your continued use of the Site after changes are posted signifies your acceptance of and agreement to the modified terms. Provided you comply with these Terms of Use, WizeIP™ grants you a personal, non-exclusive, non-transferable, limited licence to access and use the Site.

Agreement to the Terms of Use

These Terms of Use constitute a legal agreement between you and UNOVICOM OÜ. The following terms and conditions, along with any documents incorporated by reference (collectively referred to as "Terms of Use"), govern your access to and use of www.wizeip.com, as well as all associated sites linked to WizeIP™, its subsidiaries, and affiliates worldwide. This includes any content, functionality, and services offered on or through www.wizeip.com and its related global domains, subdomains, or subdirectories (collectively, the "Site(s)"), regardless of the device or platform you use to access them, whether online or via mobile, including mobile applications.

Please carefully review these Terms of Use before using the Sites. By accessing or using the Sites, you acknowledge and agree to comply with these Terms of Use, our Privacy Policy, and any other applicable governing documents available on the homepages of our Sites, which are incorporated by reference. If you do not agree with these Terms of Use or the Privacy Policy, you must not access or use the Sites.

The Sites are intended for use by individuals who are at least 18 years of age or the legal age of majority in their respective country or place of residence. By accessing the Sites, you represent and warrant that you meet the legal age requirement to form a binding contract with UNOVICOM OÜ and comply with all eligibility criteria outlined in these Terms. IF YOU DO NOT MEET THESE REQUIREMENTS, YOU MUST REFRAIN FROM ACCESSING OR USING THE SITES.

Modifications to the Terms of Use

We reserve the right to modify and update these Terms of Use at our sole discretion from time to time. Any changes will take effect immediately upon being posted and will apply to all subsequent access to and use of the Sites. By continuing to use the Sites after the revised Terms of Use have been posted, you acknowledge and agree to the changes. It is your responsibility to periodically review this page to stay informed of any updates, as they are binding on you.

Site Access and Account Security

We retain the right, at our sole discretion, to modify or discontinue the Sites, as well as any services or materials provided on the Sites, without prior notice. We will not be held responsible if any portion or the entirety of the Sites becomes unavailable at any time or for any duration. Periodically, we may limit access to certain sections of the Sites or the entire platform, including for registered users. It is your responsibility to ensure that you have made the necessary arrangements to access the Sites.

In order to access the Sites or certain resources available on them, you may be required to provide specific registration details or other information. Your use of the Sites is contingent upon ensuring that all information you provide is accurate, up-to-date, and complete. You agree that any information you submit to us through the Sites or other means, including but not limited to interactions with any interactive features, is subject to our Privacy Policy. By providing this information, you consent to the actions we take with respect to your data in accordance with our Privacy Policy.

If you select, or are provided with, a username, password, or any other security information as part of our procedures, you must keep this information confidential and not share it with any other person or entity. You acknowledge that your account is personal to you and agree not to allow others to access the Sites, or any part of it, using your username, password, or other security details. You agree to promptly notify us of any unauthorised access or use of your username or password, or any other security breach. Additionally, you agree to log out of your account at the end of each session. Exercise caution when accessing your account from public or shared computers to prevent others from viewing or recording your password or other personal information.

Account Security and Passwords

Certain features or services provided through the Site may require you to create an account, which includes setting up a Wize ID and password. You are solely responsible for maintaining the confidentiality of your account information, including your password, and for any activities that occur under your account due to your failure to protect this information. You agree to notify WizeIP™ immediately of any unauthorised use of your account, password, or any other security breach. You may be held responsible for losses incurred by WizeIP™ or other users of the Site if someone else uses your Wize ID™, password, or account because you failed to safeguard your account details.

You are prohibited from using another person’s Wize ID™, password, or account without the explicit permission of the account holder. WizeIP™ is not responsible for any loss or damage resulting from your failure to comply with these responsibilities.

Account and Membership

To access the Website and Services, you must be at least 18 years old. By using the Website and Services and agreeing to this Agreement, you confirm that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining its security and are fully accountable for all activities that occur under your account, including any actions taken through it. While we reserve the right, we are not obligated to monitor and review new accounts before you begin using the Services. Providing false contact information may lead to the termination of your account.

You must immediately notify us of any unauthorised access to your account or any security breaches. We are not responsible for any acts or omissions on your part, including any damages arising from such actions. We may suspend, disable, or delete your account (or any portion of it) if we find that you have violated this Agreement or engaged in conduct that harms our reputation or goodwill. If your account is deleted for these reasons, you are prohibited from re-registering for our Services. We may also block your email and IP address to prevent further attempts to register.

Intellectual Property Rights

The Sites, along with all of their content, features, and functionality (including, but not limited to, all information, software, text, images, video, audio, and their design, selection, and arrangement), are the property of the Company, its licensors, or other content providers. These materials are protected by United Kingdom and international laws related to WizeIP™, trademarks, patents, trade secrets, and other intellectual property or proprietary rights.

These Terms of Use grant you permission to access and use the Sites for personal and business purposes only. Your use of the content is authorised under the WGGCOL Open WizeIP™ License.

You must not:

  • Delete or alter any WizeIP™, trademark or other proprietary rights notices from copies of materials from the Sites.

If you print, copy, modify, download, or otherwise use or provide others with access to any part of the Sites in violation of these Terms of Use, your right to use the Sites will be immediately revoked. You must, at our discretion, return or destroy any copies of materials you have made. No rights, title, or interest in the Sites or any content on the Sites are transferred to you, and all rights not explicitly granted remain with the Company. Any unauthorised use of the Sites not expressly allowed by these Terms of Use constitutes a violation of the Terms and may infringe upon WizeIP™, trademark, and other applicable laws.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively referred to as "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content, found on the Site is owned, controlled, or licensed by or to WizeIP™. This Content is protected by trade dress, WizeIP™, patent, trademark laws, and various other intellectual property and unfair competition laws.

Except as expressly permitted in these Terms of Use, no part of the Site or its Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including "mirroring") to any other computer, server, website, or medium for publication or distribution for any commercial purposes without the prior written consent of WizeIP™.

You are permitted to use information related to WizeIP™ products and services (such as data sheets, knowledge base articles, and similar materials) that have been specifically made available for download from the Site, provided that: (1) you do not remove any proprietary notices from the documents, (2) you use the information solely for personal, non-commercial informational purposes and do not post it on any networked computer or broadcast it via any media, (3) you make no modifications to the information, and (4) you do not make any additional representations or warranties regarding the documents.

Trademarks

The WizeIP™ name, logo, design, and related trademarks, trade names, service marks, and other brand identifiers owned by the Company are either registered or unregistered marks in the United Kingdom and other countries. These may not be used without the Company's prior written consent. Any other trademarks, service marks, trade names, or brand identifiers mentioned on the Sites may belong to third parties and are used solely for identification purposes.

Reliance on Information Posted

The information provided on or through the Sites is intended solely for general informational purposes. We do not guarantee the accuracy, completeness, or usefulness of this information, and any reliance you place on it is at your own risk. We disclaim any liability or responsibility for any reliance placed on these materials by you or any other visitor to the Sites, or by anyone who may be informed of their content.

The Sites may include content from third parties, including materials from other users, bloggers, third-party licensors, syndicators, aggregators, and reporting services. Any statements or opinions expressed in these materials, as well as articles, responses to questions, or other content (excluding content provided by the Company), are solely the views and responsibility of the person or entity providing them. These materials do not necessarily reflect the views of the Company. We are not responsible or liable to you or any third party for the content or accuracy of any third-party materials.

Your Use of the Site

You are prohibited from using any "deep-link", "page-scrape", "robot", "spider", or other automated devices, programs, algorithms, methodologies, or any similar manual processes to access, obtain, copy, or monitor any portion of the Site or its Content. Additionally, you may not reproduce or bypass the Site’s navigational structure or presentation to acquire any materials, documents, or information not intentionally made available through the Site. WizeIP™ reserves the right to block such activities.

You may not attempt to gain unauthorised access to any part of the Site, systems, networks connected to the Site, or any WizeIP™ server, or any services offered via the Site by hacking, password mining, or other illegitimate means.

Furthermore, you may not probe, scan, or test the vulnerability of the Site or any network connected to it, nor may you breach any security or authentication measures. You are not permitted to reverse look-up, trace, or seek to trace any information about another user or visitor of the Site, including WizeIP™ customers, to their source, nor exploit the Site or any services for the purpose of revealing personal information, other than your own as permitted by the Site.

You agree not to take any action that imposes an unreasonable or disproportionately large load on the Site’s infrastructure, or WizeIP™ systems or networks, or any systems or networks connected to WizeIP™.

Additionally, you are prohibited from using any device, software, or routine to interfere with the proper functioning of the Site, any transactions conducted on the Site, or any other person’s use of the Site. You may not forge headers or manipulate identifiers to disguise the origin of any messages or transmissions you send to WizeIP™ through the Site. Impersonating another individual or entity, or falsely representing yourself, is strictly prohibited.

You are also forbidden from using the Site or any Content for any unlawful purpose or for any activities that are prohibited by these Terms of Use, including soliciting illegal activities or activities that infringe the rights of WizeIP™ or others.

Prohibited Uses

You may use the Sites only for lawful purposes and in compliance with these Terms of Use. Without limitation, you agree not to use the Sites:

  • In any manner that violates applicable federal, state, local, or international laws or regulations, including but not limited to laws concerning the export of data or software to and from the United Kingdom or other countries.
  • To exploit, harm, or attempt to harm minors by exposing them to inappropriate content, requesting personally identifiable information, or in any other manner.
  • To transmit or facilitate the sending of unsolicited advertising or promotional materials, including "junk mail," "chain letters," "spam," or other similar solicitations.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including by using email addresses or screen names associated with any of the above).
  • To engage in conduct that restricts or inhibits anyone's use or enjoyment of the Sites, or that, in our judgement, may harm the Company or users of the Sites, or expose them to liability.

Furthermore, you agree not to:

  • Use the Sites in any manner that could disable, overburden, damage, or impair the Sites, or interfere with any other party’s ability to use the Sites, including engaging in real-time activities.
  • Use any robot, spider, or other automated device, process, or means to access the Sites for any purpose, including monitoring or copying any content.
  • Use any manual process to monitor or copy any content on the Sites, or for any unauthorised purpose, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper functioning of the Sites.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
  • Attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Sites, the servers on which the Sites are hosted, or any server, computer, or database connected to the Sites.
  • Attack the Sites via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper functioning of the Sites.

User Contributions

The Sites may include chat or messaging applications, social media features, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit content or materials to other users or persons (hereinafter, "post") on or through the Sites (collectively, "Public User Contributions"). Additionally, the Sites may allow users to submit personal profile information (including but not limited to identification cards, driver's licence, passports, or other forms of ID) and utilise user measurement applications/analytics (collectively, "Non-Public User Contributions") to facilitate transactions and enhance service. Public User Contributions and Non-Public User Contributions are collectively referred to as "User Contributions."

Any Public User Contributions you post to the Sites are considered non-confidential and non-proprietary. By providing any Public User Contributions, you grant us, our affiliates, agents, service providers, and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and disclose such material to third parties for any purpose, as allowed by your account settings.

You represent and warrant that:

  • You own or control all rights to your Public User Contributions and have the right to grant the licence described above to us and our affiliates, agents, service providers, and their licensees, successors, and assigns.
  • All of your User Contributions comply and will continue to comply with these Terms of Use.

You acknowledge that you are solely responsible for your User Contributions, including their legality, reliability, accuracy, and appropriateness, and the Company assumes no responsibility for such content.

We are not liable to any third party for the content or accuracy of any User Contributions posted by you or any other user. We reserve the right to:

  • Remove or refuse to post any Public User Contributions at our sole discretion for any reason.
  • Take action we deem necessary or appropriate, including if we believe any User Contribution violates these Terms of Use, infringes on intellectual property rights, threatens user safety, or could create liability for the Company.
  • Disclose your identity or other relevant information to any third party claiming that content posted by you violates their rights, such as intellectual property or privacy rights.
  • Take legal action, including referral to law enforcement, for any suspected illegal or unauthorised use of the Sites.
  • Suspend or terminate your access to the Sites for any reason, including violations of these Terms of Use.
  • Disable any username, password, or other identifier at any time, with or without cause, if we believe you have violated any part of these Terms of Use.

Additionally, we fully cooperate with law enforcement or court orders requesting us to disclose the identity or information of anyone posting materials on the Sites. YOU WAIVE AND HOLD HARMLESS THE COMPANY, ITS AFFILIATES, AGENTS, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS ARISING FROM ACTIONS TAKEN DURING OR AS A RESULT OF INVESTIGATIONS OR ACTIONS TAKEN BY SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Please note that while we strive to monitor the content, we cannot review all material before it is posted and cannot guarantee prompt removal of objectionable content. Therefore, we assume no liability for any actions or inactions regarding transmissions, communications, or content provided by any user or third party, and we bear no responsibility for the performance or nonperformance of activities described in this section.

User Content Standards

The following content standards apply to all Public User Contributions, the use of Interactive Services, and where applicable, to all Non-Public User Contributions. All User Contributions must comply with applicable federal, state, local, and international laws and regulations. Without limiting the scope of these requirements, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic content, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringe on any patent, trademark, trade secret, WizeIP™, or other intellectual property rights of any person.
  • Violate the legal rights of others, including rights of publicity and privacy, or contain material that could result in civil or criminal liability under applicable laws or regulations, or conflict with these Terms of Use and our Privacy Policy.
  • Be likely to deceive or mislead any person.
  • Promote or advocate for illegal activities or assist in the commission of unlawful acts.
  • Cause unnecessary annoyance, inconvenience, or anxiety, or be likely to upset, embarrass, alarm, or offend any other person.
  • Impersonate any individual, or misrepresent your identity or affiliation with any person or organisation.
  • Involve commercial activities such as contests, sweepstakes, sales promotions, barter, or advertising.
  • Imply endorsement or affiliation with us or any other person or entity without proper authorization.
  • These standards are in place to ensure a safe, lawful, and respectful environment for all users.

We do not claim ownership of any data, information, or material (collectively, "Content") that you submit to the Website while using the Service. You are solely responsible for ensuring the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property rights or permissions for all Content you submit. While we may monitor and review the Content you submit or create using our Services, we are not obligated to do so.

WizeIP™ 's obligations, if any, regarding its products and services are governed solely by the agreements under which they are provided, and nothing on this Site should be interpreted to modify those agreements.

WizeIP™ reserves the right to modify any products or services offered on the Site, including the applicable prices, at any time without notice. The materials on the Site related to products and services may become outdated, and WizeIP™ is under no obligation to update such materials.

Transaction Terms and Conditions

All transactions conducted through the Sites, including any services or transactions resulting from your visits, are governed by the specific Terms and Conditions applicable to your transaction. These terms are incorporated into these Terms of Use by reference.

Billing and Payments

You agree to pay all fees and charges to your account in accordance with the applicable fees, charges, and billing terms in effect at the time the payment is due. For Services offered on a free trial basis, payment may be required after the trial period ends, even if you have provided your billing information prior to the start of the trial. If auto-renewal is enabled for the Services you have subscribed to, you will be automatically charged according to the selected subscription term. If we deem your purchase to be high-risk, we may request a copy of your valid government-issued photo ID and possibly a recent bank statement for the credit or debit card used for the transaction. We reserve the right to modify products and pricing at any time.

Conditions Of Sale

Purpose

Any purchase of services offered by WizeIP™, a trade name of UNOVICOM OÜ registered in Estonia, constitutes the customer's full and unconditional acceptance of these terms and conditions of sale, which take precedence over any other documents provided by the purchaser. Any other materials, such as catalogues, brochures, advertisements, or notices, are for informational purposes only and are not precise or legally binding. The customer acknowledges that they have been adequately informed about the features, benefits, and limitations of WizeIP™ services.

Description Of Services

WizeIP™ provides a real-time system for issuing sealed electronic bailiff certificates, assigning a specific date and time to the client's digital file, which is also certified by a bailiff. Through the website www.wizeip.com, the company offers a Digital WizeIP™ Certification service for any type of creation (such as models, writings, songs, images, etc.). This service serves as proof of authorship for the creation and assigns it a verifiable date.

Registration Services

The deposit services offered by the company are sold in annual packages. Each deposit entitles you to submit one digital file. These annual packages are valid for one year from the date the contract is signed. Unused deposits within the annual subscription period will be permanently forfeited and cannot be extended, whether or not the contract is renewed. The contract is irrevocable, and all amounts due under the contract must be paid to WizeIP™, regardless of whether the customer utilises the purchased services. Access to the deposit service is contingent upon full payment of the contract amount. The customer is solely responsible for paying all invoiced amounts under this contract. This contract is non-transferable and non-assignable, and is exclusively for the use of the client named in the contract.

Terms Of Service

Upon payment of the total contract price, WizeIP™ will activate an account with the username selected by the customer, accessible via the "client access" section on the website www.wizeip.com. This account enables customers to make deposits and view their deposit history, as well as check their deposit balance. Deposits can be made online either by the customer, who will receive an electronic confirmation with the date and time of submission, or by WizeIP™ if the customer requests WizeIP™ to handle the deposit. In this case, the work should preferably be sent in a digital file format. All documents, copies, or reproductions of the works sent by the customer will be destroyed by WizeIP™ after the deposit is made online, unless the customer specifies otherwise.

Prices

The pricing for the various packages is listed on the website and is quoted in Pounds. These prices do not include taxes, and the applicable value-added tax (VAT) must be added to the total. WizeIP™ reserves the right to modify prices at any time, with packages being charged according to the rates in effect at the time of subscription or renewal.

Obligations Wizeip™

WizeIP™ strives to meet customer demands within the capabilities of its operating systems and the limitations of service quality. The company will employ all available resources to facilitate the execution of deposits. However, this obligation is subject to the inherent nature of electronic systems and the involvement of external service providers.

Customer Obligations

The customer agrees to:

  • Provide a valid e-mail address to receive depository receipts.
  • Provide accurate data to the company.

Limitation Of Warranties Wizeip™

WizeIP™ is not responsible for the content of the deposited files; it is the customer's responsibility to submit their own files and ensure the quality of the submitted materials, such as the readability of texts, the clarity of photographs, and the proper representation of the unique aspects of the work. WizeIP™ does not guarantee the originality of the work; the customer is solely responsible for ensuring that no third-party rights are infringed by the submitted models. The customer acknowledges that the deposit does not create intellectual property rights but serves as a form of proof.

End Of Renewal

Contracts with WizeIP™ (Objective Concept) are valid for one year from the date of signing and are automatically renewed for the same amount at the end of each subscription year, unless the customer notifies us via email at contact@WizeIP™.co.uk at least 30 days prior to the contract's renewal date, expressing the intent to cancel the automatic renewal. Verbal cancellations will not affect the current subscription, and the customer is not entitled to request a refund for deposits already used. Only email cancellations sent 30 days before the subscription's renewal date will be considered valid.

Your annual subscription includes customer support, digital storage of your certificates and information, and access to your online account management interface.

We inform customers that, regardless of the subscription, your WizeIP™ deposit is valid for life and is securely stored with a public notary for 30 years. Jurisdiction

For customers who are merchants, any dispute arising from the interpretation, formation, or execution of this contract shall be brought before the commercial court of the respective country.

WizeIP™.co.uk values and protects your creativity while promoting and respecting diversity. We make every effort to avoid offending users and their ideals. However, WizeIP™.co.uk reserves the right to decline protection for creations whose content is deemed inappropriate for our WizeIP™ network. This includes, but is not limited to, content related to hate, pornography, violence, bullying, racism, sexual, religious, or political intolerance, or any organisations promoting such ideologies. Additionally, we do not protect content that is exploitative or unfairly capitalises on others. Any customer promoting such services through our platform may have their account blocked by WizeIP™ without prior notice or legal action.

In the event that, despite the provisions of these Terms of Use, WizeIP™ is found liable for any damages or losses arising out of or related to your use of the Site or any Content, WizeIP™ ’s liability will in no case exceed the greater of (1) the total of any subscription or similar fees paid by you for services or features on the Site in the six months preceding the date of the initial claim (excluding the purchase price of any WizeIP™ hardware, software, or support programs), or (2) £100.00 (One Hundred Pounds Sterling). Some jurisdictions do not allow the limitation of liability, so the above limitation may not apply to you.

THE ABOVE LIMITATION DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, agents, licensors, and service providers, as well as their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to your violation of these Terms of Use or your use of the Sites. This includes, but is not limited to, your User Contributions, any use of the Sites' content, services, and products beyond what is expressly permitted by these Terms of Use, or your use of any information obtained from the Sites.

Governing Law, Jurisdiction, and Dispute Resolution

To the extent permitted by applicable law, all matters related to the Sites, these Terms of Use, and any disputes or claims arising from or related to them (including non-contractual disputes or claims) will be governed by, and construed in accordance with, the laws of England and Wales. Unless otherwise agreed, any legal proceedings shall take place in the Crown courts of the United Kingdom, and both parties submit to the exclusive jurisdiction of these courts.

Any legal action, suit, or proceeding arising from or related to these Terms of Use or the Sites must be brought exclusively in the Crown courts of the United Kingdom. By using the Sites, you waive any objections to the jurisdiction of these courts or to the venue of such proceedings.

You agree that all matters relating to your access to or use of the Sites, including any disputes, will be governed by the laws of England and Wales, as well as the laws of the United Kingdom, without regard to conflict of law principles. You also agree to submit to the personal jurisdiction and venue of the Crown courts in the United Kingdom and waive any objections to such jurisdiction or venue.

Any claim under these Terms of Use must be filed within one (1) year after the cause of action arises, or it will be permanently barred. Claims made under separate terms and conditions for the purchase of goods or services are not subject to this time limitation. Only out-of-pocket expenses may be recovered, except that the prevailing party will be entitled to costs and attorneys' fees.

In the event of any controversy or dispute between you and WizeIP™ arising from or related to your use of the Sites, both parties will make a good faith effort to resolve the issue promptly. If the dispute cannot be resolved within ninety (90) days, either party may refer the matter to mediation. Should mediation fail, the parties may pursue any legal rights or remedies available under applicable law.

Waiver and Severability

The Company's waiver of any term or condition in these Terms of Use shall not be considered a continuing waiver of that term or condition, nor a waiver of any other term or condition. Additionally, the Company’s failure to enforce any right or provision under these Terms of Use does not constitute a waiver of that right or provision.

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision shall be removed or limited to the minimum extent necessary so that the remaining provisions continue to be fully enforceable and effective.

Severability

All rights and restrictions outlined in this Agreement may be exercised and will be applicable and binding only to the extent that they do not violate any applicable laws. They are intended to be limited as necessary to avoid rendering this Agreement illegal, invalid, or unenforceable. If any provision, or part of any provision, is deemed illegal, invalid, or unenforceable by a court of competent jurisdiction, the parties intend for the remaining provisions or parts of provisions to remain in effect and continue to govern the subject matter of this Agreement. All such remaining provisions will remain in full force and effect.

Dispute resolution

The formation, interpretation, and enforcement of this Agreement, along with any disputes arising from it, shall be governed by the substantive and procedural laws of Ontario, Canada, without regard to its conflict of law rules, and where applicable, the laws of Canada. Any legal actions related to this Agreement shall be exclusively brought in the courts of Ontario, Canada, and you hereby consent to the personal jurisdiction of these courts. You also waive any right to a jury trial in any legal proceedings arising out of or relating to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You are not permitted to assign, resell, sub-license, or otherwise transfer or delegate any of your rights or obligations under this Agreement, in whole or in part, without our prior written consent, which may be granted at our sole discretion and without obligation. Any such attempted assignment or transfer without consent will be considered null and void. We reserve the right to assign any of our rights or obligations under this Agreement, in whole or in part, to any third party in connection with the sale of all or a substantial portion of our assets or stock, or as part of a merger.

Entire Agreement

These Terms of Use represent the complete and exclusive agreement between you and WizeIP™ regarding the Sites, and they replace all prior and concurrent understandings, agreements, representations, and warranties, whether written or oral, related to the Sites.

Void Where Prohibited

WizeIP™ administers and operates the www.wizeip.com site from its location in Tallinn, Estonia; other WizeIP™ sites may be administered and operated from various locations outside the United Kingdom. While the Site is accessible globally, not all features, products, or services referenced, provided, or offered through the Site are available to everyone or in every geographic location. Furthermore, some features, products, or services may not be suitable or available for use outside the United Kingdom. WizeIP™ reserves the right, at its sole discretion, to limit the availability and quantity of any feature, product, or service to any individual or geographic area. Any offer made on the Site is void where prohibited. If you access the Site from outside the United Kingdom, you do so on your own initiative and are solely responsible for complying with local laws.

Miscellaneous

You may not use, export, or re-export any Content, or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including, but not limited to, United Kingdom export laws and regulations.

Except as provided in a purchase agreement you may enter into with WizeIP™, the company will not accept any counter-offers to these Terms of Use, and all such counter-offers are hereby rejected. WizeIP™ ’s failure to insist upon or enforce strict adherence to these Terms shall not be construed as a waiver of any of WizeIP™ ’s rights to enforce these Terms, nor shall any course of conduct between WizeIP™ and you or any other party be deemed to modify any provision of these Terms. These Terms of Use do not confer any rights or remedies to third parties.

WizeIP™ provides access to its international data, and the Site may reference WizeIP™ products, programs, or services that are not available in your country. Such references do not imply that WizeIP™ intends to make those products, programs, or services available in your country.

Changes and amendments

We reserve the right to modify this Agreement or its terms related to the Website and Services at any time, at our discretion. When changes are made, we will update the "last updated" date at the bottom of this page. Additionally, we may choose to notify you through other means, such as using the contact information you have provided.

Unless otherwise specified, the updated version of this Agreement will take effect immediately upon posting. By continuing to use the Website and Services after the updated Agreement becomes effective (or after any other specified action), you acknowledge and consent to the changes.

Acceptance of these terms
